DEOS Product And Services Subscription Terms And Conditions

Last Updated: November 2, 2026

THESE TERMS GOVERN BUSINESS ACCESS TO DEOS™, REVLAB VIDEO™, AND ALL COVERED LEGACY PRODUCTS AND SERVICES, INCLUDING REPLAi™, REPLAi WebID, REPLAi Sales, REPLAi Service, IGNITE, ENGAGE, AND RETAIN, WHETHER PROVIDED UNDER THEIR EXISTING NAMES OR MIGRATED TO DEOS. THEY APPLY TO PAID SUBSCRIPTIONS, FREE ACCESS, TRIALS, PAID PILOTS, NO-CHARGE BETA SERVICES, DEMONSTRATIONS WITH PLATFORM ACCESS, AND OTHER AUTHORIZED BUSINESS USE, SUBJECT TO SECTION 23 FOR PREEXISTING AGREEMENTS. THEY INCLUDE RESTRICTIONS ON USE, CUSTOMER COMPLIANCE RESPONSIBILITIES, PAYMENT AND RENEWAL PROVISIONS, WARRANTY DISCLAIMERS, LIABILITY LIMITATIONS, AND PALM BEACH COUNTY, FLORIDA COURT, JURY-TRIAL WAIVER, AND INDIVIDUAL-ACTION-ONLY PROVISIONS.

1. Parties, Scope, And Acceptance

1.1 Parties And Covered Customers

These Product and Services Subscription Terms and Conditions ("Terms") are between I REVLAB, INC., a Wyoming corporation, headquartered at 4910 Communications Ave, Suite 120, Boca Raton, FL 33431 ("Company," "REVLAB," "we," "us," or "our"), and the business or other organization accepting them ("Customer"). Covered Customers include individual dealerships, dealership groups, corporate entities, businesses, marketing and communications agencies, original equipment manufacturers ("OEMs"), aftermarket repair and service businesses, and other organizations approved for access.

"Authorized User" means an individual Customer permits to access the Services within the access rights granted by Company. "You" means Customer and, for obligations applicable to individual platform use, each Authorized User. Customer is responsible for its Authorized Users as provided below. Merely naming a parent, affiliate, client, or other organization does not make that organization a contracting party or grant it access.

1.2 How The Agreement Is Accepted

Customer accepts these Terms when its authorized representative: (a) signs or electronically accepts an Order that clearly incorporates these Terms by title and an accessible link or attached copy; (b) affirmatively accepts these Terms through a platform registration, activation, checkout, or other click-through process; or (c) after receiving conspicuous notice identifying these Terms and clearly explaining that a specified action constitutes acceptance, takes that action to activate or use the Services, to the extent applicable law recognizes that acceptance. A payment constitutes acceptance only when the associated payment or ordering process supplies that notice and identifies payment as acceptance.

The representative accepting for Customer represents that they have authority to bind Customer. An individual without that authority may accept only their own user obligations and may not activate organization-level access or incur obligations for that organization. Customer must ensure that each Authorized User receives these Terms and completes any required user acceptance before access. An Authorized User's acceptance binds that user to the access, acceptable-use, confidentiality, intellectual-property, security, and other provisions applicable to individual use; it does not make that user personally liable for Customer's subscription charges merely because they are an employee or permitted contractor.

Acceptance does not depend on whether fees are charged. Subject to mandatory law, a person who accepts after receiving the Terms and an opportunity to review and retain them remains bound even if they elect not to read them. Company may retain evidence of acceptance, including the accepted version, identity and organization, time, and related electronic records. Publication alone does not replace a legally sufficient acceptance process. If you do not accept, do not activate or use the Services.

1.3 Agreement Documents And Priority

"Order" means an order form, subscription agreement, service order, statement of work, accepted checkout, or other ordering document identifying the Services and accepted by both parties. An invoice is an Order only if the parties accept it as such; sending an invoice alone does not add new terms. These Terms, applicable Orders, and expressly incorporated addenda form the "Agreement."

The Privacy Policy linked in the ordering or activation process is incorporated for the privacy practices and protections it describes. Customer and users acknowledge receipt of that Policy and agree to the obligations applicable to their use. This acknowledgment does not supply an individual's marketing, recording, biometric, or other consent that must be separately obtained. Individual likeness authorization is addressed expressly in Section 13.1, subject to any additional release required by applicable law.

Conflicts are resolved as follows: (a) a signed negotiated amendment controls to the extent it expressly overrides another provision; (b) a data processing or security addendum controls its specific subject matter; (c) an Order controls service scope, locations, quantities, fees, billing, subscription dates, and expressly identified deviations; (d) applicable feature-specific terms control only their feature; and (e) these Terms otherwise control. Privacy protections and individual rights required by law cannot be reduced by this priority rule. A general purchase-order reference does not override these Terms.

General website browsing remains governed by the Site Terms of Use. These Terms control contracted platform use. No unidentified future policy, unpublished document, or unrelated website term is incorporated merely because it exists.

2. Definitions And Platform Scope

"Services" means the hosted DEOS™ platform; REVLAB VIDEO™ products and services, including existing and legacy REPLAi™, REPLAi WebID, REPLAi Sales, REPLAi Service, Ignite, Engage, and Retain offerings; and their covered applications, APIs, documentation, implementation, support, and professional services expressly made available under the Agreement. References to DEOS or the platform include these covered offerings where applicable to the subscribed or authorized functionality, whether or not a legacy service has migrated to the DEOS interface. "Documentation" means Company-provided instructions describing authorized operation of the applicable Services.

"Customer Data" means data, content, records, materials, instructions, and other information supplied by Customer or its users, collected from recipients for Customer, or retrieved from Customer-authorized sources to perform the Services. It includes customer and vehicle records, communications, prompts, permissions, Persona Materials, and Customer-specific outputs, subject to underlying Company and third-party rights. "Output" means content or results generated for Customer through the Services. "Persona Materials" means a person's name, likeness, photographs, video, voice, movements, biographical attributes, and associated replica materials supplied or created for an authorized use. "Company Technology" means the platform, software, models, tools, APIs, workflows, algorithms, architectures, integration methods, templates, documentation, and related intellectual property owned by or licensed to Company.

Depending on the Order and enabled configuration, the Services may provide:

These descriptions are a platform overview, not a commitment that every feature, channel, integration, agent, or capability is included in every subscription. The Order and applicable Documentation define the purchased scope. Roadmaps, demonstrations, estimates, sample outcomes, and marketing materials do not create additional deliverables unless expressly incorporated in an Order.

3. Access Rights, Users, And Customer Structure

3.1 Limited Business License

Subject to the Agreement and applicable payment obligations, Company grants Customer a limited, nonexclusive, nontransferable right during the authorized term to access and use the included Services for Customer's lawful business operations and permitted customer communications. Authorized API and integration use is included only to the extent granted. Access is a service license, not a sale of Company Technology, source code, models, or infrastructure.

Rights are limited to approved users, entities, locations, brands, environments, volumes, and use cases. No unspecified enterprise-wide, unlimited, reseller, or sublicensing rights arise from a group relationship. Customer may use authorized business outputs as provided in Section 13.

3.2 Dealer Groups, Affiliates, Agencies, And OEMs

An Order must identify or provide an approved method to identify participating locations and entities. Customer may authorize access for covered affiliates and contractors within that scope and remains responsible for their compliance. A group or OEM administrator may receive separately permissioned access to an identified dealership environment; that access does not authorize commingling dealership customer databases. Customer must possess the authority to direct their data processing and cannot authorize cross-location or group access merely because businesses share a brand.

An agency may serve named or otherwise approved clients only where its Order expressly permits managed-client use. It must obtain each client's authority, applicable data permissions, and required releases; keep client environments and permissions appropriately separated; and prevent one client's information from reaching another without lawful authorization. An agency remains liable for its Order and its instructions unless Company expressly agrees otherwise. A client requiring independent access must complete the applicable acceptance process. Neither an agency nor an OEM may bind a dealer or other independent entity without actual authority.

Resale, white-labeling, sublicensing, distribution, and operation as an independent service bureau require a separate written authorization. Permission to act for a client is not permission to resell unrestricted platform access.

3.3 Account Administration And Security

Customer designates authorized administrators and keeps contacts, roles, permissions, and account information accurate. Administrator instructions within granted authority are Customer instructions. Customer must promptly remove departed personnel, reduce obsolete privileges, protect credentials and API keys, use required security controls, and notify Company of suspected compromise at support@deos1.com.

Individual credentials may not be shared. Customer is responsible for use it authorizes or permits and for failures of security duties within its control; this does not shift responsibility for a breach caused by Company's failure to perform its own obligations. Company may rely reasonably on authenticated instructions but may request confirmation, reject suspicious instructions, or limit high-risk actions. Customer may not treat an account compromise as authorization to continue unlawful activity.

Authorized Users must be at least eighteen and legally capable of accepting applicable obligations. Customer must provide any required workplace notices for staff activity, monitoring, or reporting features.

4. Beta Services, Paid Pilots, Free Access, And Trials

4.1 Beta Services: No Charge During The Beta Term

"Beta Services" are features or Services expressly designated by Company as beta or prerelease. The accepted beta enrollment or Order identifies their scope and term. CUSTOMER WILL NOT BE CHARGED FOR THE DESIGNATED BETA SERVICES DURING THE DESIGNATED BETA TERM. Separately identified paid production Services remain payable under their Order; no charge for an ancillary item may be used to disguise a charge for the designated Beta Services. No beta-to-paid conversion occurs without an accepted paid Order or other affirmative enrollment disclosing the charges, term, and conversion date.

Beta Services are experimental, may be incomplete or inaccurate, and may change, fail, or be withdrawn. They have no default uptime commitment or production warranty and must not serve as Customer's sole operational or recordkeeping system. Customer must evaluate results, use appropriate backups and human oversight, and assume the ordinary business risks of its voluntary beta participation. Company may restrict production data, outbound communications, and live replicas until necessary safeguards and permissions are confirmed.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMER RELEASES COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AUTHORIZED PROVIDERS FROM CUSTOMER'S CLAIMS, LOSSES, AND LIABILITIES ARISING FROM THE EXPERIMENTAL CHARACTER, ERRORS, INTERRUPTIONS, OR FAILURE OF THE NO-CHARGE BETA SERVICES, INCLUDING CLAIMS BASED ON ORDINARY NEGLIGENCE IN THE PROVISION OF THOSE EXPERIMENTAL SERVICES. CUSTOMER WILL DEFEND, INDEMNIFY, AND HOLD THEM HARMLESS FROM THIRD-PARTY CLAIMS, DAMAGES, LIABILITIES, AND REASONABLE DEFENSE COSTS ARISING FROM CUSTOMER'S BETA USE, CONTENT, DATA, INSTRUCTIONS, COMMUNICATIONS, OR FAILURE TO OBTAIN REQUIRED PERMISSIONS, SUBJECT TO THE CLAIM PROCEDURES AND CAUSATION LIMITS IN SECTION 20.

Neither the release nor indemnity covers Company's fraud, willful misconduct, gross negligence, violation of a nonwaivable duty, or a liability that cannot lawfully be released or indemnified. The beta release does not erase Company's express data-use, tenant-isolation, confidentiality, deletion, or applicable security obligations. Acceptance does not bind individuals who have not lawfully authorized a release of their own rights. All other applicable Terms, including restrictions on use and protection of Company Technology, apply throughout beta participation.

4.2 Pilots: Paid Subscription Use

A "Pilot" is a paid period of Services use for evaluation, staged implementation, or defined business operations. The Order identifies the Pilot's scope, fees, term, success criteria if any, and any transition arrangements. Pilots are fully subject to the payment, Autopay, data, security, content, communications, acceptable-use, and other subscription provisions of this Agreement. A Pilot is not a free beta and carries no implied fee waiver, refund, performance guarantee, or termination right based solely on Customer's assessment of its results.

Unless the Pilot Order expressly states a different initial term, nonrenewing end date, conversion procedure, or cancellation rule, the three-month minimum and subsequent automatic monthly renewal in Section 8 apply. A Pilot designation alone does not override those defaults. Production availability commitments apply to paid production Pilot Services unless the Order expressly and conspicuously identifies agreed evaluation limitations; an experimental feature remains subject to its expressly designated beta treatment.

4.3 Free Access: Authorized Review Or Defined Use

"Free Access" is no-charge access expressly authorized for product review, demonstration, or a defined business use. Payment, recurring billing, and minimum paid-subscription obligations do not apply to the designated free entitlement. All other applicable Terms apply in full, including user acceptance, approved scope, confidentiality, intellectual-property protection, data handling, content responsibility, communication permissions, indemnification, and liability limitations. No paid subscription arises solely because free access was provided or used.

Company determines the free entitlement's permitted users, functions, capacity, purpose, and duration and may end or modify it on notice, or immediately for security, misuse, legal necessity, or the agreed expiration. There is no default uptime commitment or production warranty. Any paid addition or conversion requires affirmative acceptance of its applicable commercial terms.

4.4 Trials: Paid Or Unpaid As The Order Provides

A "Trial" is time-limited evaluation use governed by an Order or accepted trial enrollment stating whether charges apply, the amount if any, the evaluation period, and any agreed conversion or cancellation conditions. Trials are subject to all applicable subscription Terms; only the payment obligations expressly waived or modified by the accepted Trial terms are waived or modified. No-charge Trial use does not itself create a paid obligation. A paid Trial follows the standard three-month minimum and automatic monthly renewal unless its Order expressly modifies them.

An unpaid Trial converts to paid Services only under a clearly disclosed and affirmatively accepted conversion arrangement specifying the conversion date, charge, initial commitment, renewal, and cancellation method. Without that arrangement or a later accepted paid Order, Trial access expires unless extended. A Trial label does not waive legal, privacy, consent, content, security, or technology-protection requirements.

4.5 Common Evaluation Conditions

All evaluation access is limited to Company-approved scope and users. Real customer records, live outbound communications, and Persona Materials may be used only where enabled and lawfully authorized. An evaluation label never authorizes unlawful processing or removes Company duties imposed by applicable law. If an Order combines free beta features with paid production Services, the parties must identify each entitlement so that the applicable charges, protections, and limitations can be determined separately.

5. Implementation, Dependencies, And Service Changes

Customer must timely provide authorized data access, technical contacts, integration permissions, required third-party approvals, configuration decisions, lawful content, and requested approvals. Implementation schedules depend on those items and on third-party readiness. Company will use commercially reasonable efforts to perform included implementation and support; a specific completion date or acceptance process applies only if agreed in an Order.

Custom development, data remediation, migration, training, travel, or integration work beyond the agreed scope requires advance written approval of scope and fees. Neither a support discussion nor Customer's request alone authorizes additional charges. Delays caused by Customer do not automatically postpone a separately agreed billing start date; the Order must state whether billing begins on execution, provisioning, go-live, or another event.

Company may maintain and improve the Services and adjust technical implementation. During a paid committed term, Company will not materially reduce the overall contracted core functionality without providing a substantially equivalent alternative or an appropriate remedy. If a material reduction remains unremedied for thirty days after Customer's written notice, Customer may terminate the materially affected Services and receive unused prepaid recurring fees for the period after termination. Specific commercially agreed features may be modified by written agreement. Security and legally necessary changes may take effect immediately, with prompt notice where feasible.

6. Fees, Invoices, Taxes, And Payment Disputes

Fees, quantities, currency, billing start, due dates, usage allowances, and any committed minimums are stated in the Order. Recurring subscription charges are due on the agreed billing date under Section 8 unless the Order expressly provides another arrangement. For a separate invoice without a stated due date, an undisputed amount is due thirty days after issuance. There is no charge for a free entitlement unless separately accepted. Taxes are additional except taxes on Company's net income; Customer must provide valid exemption documentation where applicable.

Usage-based charges and overages apply only under a disclosed, accepted rate and measurement method. Customer is responsible for authorized usage within its account, including enabled automated actions, subject to corrections for Company's billing errors. Company may apply reasonable technical limits to protect the Services. New locations, seats, modules, or materially increased entitlements require an authorized addition or applicable accepted usage arrangement.

Customer must notify billing@revlabvideo.ai of a good-faith billing dispute promptly, preferably within thirty days of the invoice, describing the basis and amount. Failure to do so does not waive a nonwaivable right or a subsequently discoverable error. The parties will work reasonably to resolve the dispute, and Customer must pay the undisputed portion when due. Company will not suspend solely for the genuinely disputed portion while Customer cooperates and pays undisputed charges.

For an undisputed amount more than three business days overdue, Company may suspend affected Services after written notice and an opportunity to bring payment current, subject to Section 21. A failed or returned payment may incur a single $50 administrative fee if not remedied within five business days after notice, but only to the extent lawful and reasonable; no duplicate late and returned-payment fee applies to the same failure. Reasonable lawful collection costs may be recovered for unpaid undisputed obligations. No interest or additional penalty applies unless lawfully agreed.

Except for express Agreement remedies or mandatory law, fees are nonrefundable, including for partial periods, unused capacity, or Customer-caused suspension. Company-caused credits, billing corrections, and expressly required refunds are not excluded. Customer may not withhold unrelated undisputed charges as a setoff against an unadjudicated claim.

7. Autopay And Payment Authorization

Autopay is the default condition of paid subscription access under Section 8 unless an accepted Order provides otherwise. Customer accepts that condition by accepting these Terms with conspicuous disclosure of recurring billing, and must separately complete the payment authorization required by the processor, bank, network rules, or applicable law before any debit. Enrollment securely through the designated processor may be required before activation. Customer authorizes the disclosed recurring charges and applicable authorized variable usage or taxes to the selected payment method according to the agreed schedule, generally monthly on the enrollment anniversary unless the Order states otherwise.

Customer represents it controls the payment method and, for ACH, is authorized to debit the identified business account. ACH enrollment must include any separate authorization required by applicable law, bank requirements, and payment-network rules. These Terms do not replace a required debit authorization. Payment processors handle payment credentials under their applicable security and contractual requirements.

Company will provide notice of changed recurring amounts at least fifteen days before the affected billing date where applicable, or any longer period required by law or payment rules. This notice does not authorize a price change prohibited by the Order or Section 8. Company may retry failed charges only as permitted by the authorization, law, and network rules, without duplicate recovery.

Customer may update a payment method or revoke authorization by contacting billing@revlabvideo.ai and through any available processor controls. Revocation takes effect within the time required by applicable law and payment rules and does not require waiting thirty days if those rules require earlier effect. Customer must arrange an accepted alternative if payment remains due. Revoking Autopay, blocking a card, or closing an account does not cancel the subscription or erase contractual charges. Subscription cancellation follows Section 8. Company will stop debits that are no longer authorized; any remaining payment obligation may be invoiced through a lawful alternative.

8. Subscription Term, Renewal, And Cancellation

8.1 Standard Initial Commitment And Order Overrides

UNLESS AN ACCEPTED ORDER EXPRESSLY PROVIDES OTHERWISE, EVERY PAID SUBSCRIPTION HAS AN INITIAL MINIMUM COMMITMENT OF THREE CONSECUTIVE MONTHLY SERVICE PERIODS, FOLLOWED AUTOMATICALLY BY MONTH-TO-MONTH RENEWAL. THE INITIAL THREE MONTHS ARE REQUIRED AND ARE NOT CANCELABLE FOR CONVENIENCE. The Agreement begins on acceptance; the billing and initial service period begin on the date identified in the Order or accepted enrollment. If that date is not separately identified, the initial period begins when Company first makes the subscribed paid Services available to Customer.

The three-month commitment comprises three monthly billing periods, commonly described as the initial ninety-day period; because calendar months differ in length, the monthly anniversary dates control unless the Order expressly specifies an exact ninety-day term. Monthly billing does not remove the initial commitment. All three monthly fees remain payable, subject to an express termination-for-cause right, another Agreement remedy, or mandatory law.

An accepted Order may establish a different minimum term, billing cycle, renewal period, prepaid arrangement, or cancellation rule. An override must expressly identify the different arrangement; silence, a blank field, or omission of a term in the Order leaves these standard terms in effect. Merely labeling use a Pilot or paid Trial does not override them. No-charge Beta Services, Free Access, and unpaid Trials follow Section 4 and do not incur a paid commitment without accepted conversion terms.

8.2 Automatic Monthly Renewal And Billing

AFTER THE INITIAL THREE-MONTH COMMITMENT, THE SUBSCRIPTION AUTOMATICALLY RENEWS FOR SUCCESSIVE ONE-MONTH PERIODS UNTIL EFFECTIVELY CANCELED. CUSTOMER AGREES TO THIS RENEWAL WHEN ACCEPTING THE AGREEMENT. Company will automatically charge or debit the accepted payment method on each agreed monthly billing date for authorized charges, subject to Section 7 and any separately required payment authorization. Absent a different accepted arrangement, Autopay enrollment is a condition of paid subscription access. Customer must maintain a valid authorized method or an alternative Company agrees to accept.

If the monthly anniversary falls on a date not occurring in a particular month, the applicable monthly period starts on that month's last day, returning to the ordinary anniversary date when available. Company provides any legally required renewal reminders, disclosures, and cancellation mechanisms. An Order need not repeat the standard renewal provisions for these accepted Terms to apply.

8.3 Thirty-Day Written Notice; Cancellation At Period End

CUSTOMER MUST GIVE AT LEAST THIRTY (30) CALENDAR DAYS' WRITTEN NOTICE OF CANCELLATION OR NONRENEWAL. CANCELLATION TAKES EFFECT AT THE END OF THE FIRST MONTHLY SERVICE PERIOD WHOSE END FALLS AT LEAST THIRTY DAYS AFTER RECEIPT OF NOTICE, AND NEVER BEFORE THE REQUIRED INITIAL COMMITMENT ENDS, EXCEPT UNDER AN EXPRESS TERMINATION RIGHT OR MANDATORY LAW. Customer may give notice during the initial commitment to prevent renewal, provided the notice period is satisfied by the proposed end date.

A midmonth or late-month cancellation does not avoid the next renewal charge if fewer than thirty days remain before the current period ends. The subscription continues, the next monthly charge remains payable, and cancellation becomes effective at the applicable later period end. No unused-day refund or prorated credit is due for an ordinary cancellation. For example, on a first-of-month cycle after the minimum term, notice received June 15 ends Services July 31: the July 1 charge remains due because the thirty-day notice period expires during July. Notice received early enough to provide thirty full days before June 30 permits a June 30 end date. The exact receipt date and applicable monthly period govern.

Customer must send notice to billing@revlabvideo.ai, use a cancellation function Company expressly designates, or send tracked written delivery to the address in Section 27. Identify Customer, account, and affected Services. Company will acknowledge receipt; acknowledgment is not a condition of otherwise valid provable notice. Oral notice alone is insufficient unless Company confirms it in writing or mandatory law requires that method. Revoking a debit, stopping use, deleting a user account, or opening a support ticket does not itself cancel a subscription. Any mandatory easier cancellation mechanism or right controls.

8.4 Renewal Prices And Other Changes

Recurring prices remain fixed during the agreed initial or other committed term unless an Order expressly permits a defined adjustment. A renewal increase requires at least sixty days' written notice and adequate opportunity to cancel under the thirty-day rule. If notice is late, the increase is deferred to a renewal for which adequate notice has been given unless Customer affirmatively accepts earlier application. A price-change notice does not authorize retroactive charges or amendment of a protected Order term. Other updates follow Section 26.

9. Customer Data, Processing Instructions, And Privacy

9.1 Rights And Limited Processing License

As between the parties, Customer and its licensors retain their rights in Customer Data. No transfer of ownership of personal information is implied. Customer grants Company a limited, nonexclusive license to access, host, copy, transmit, reconcile, analyze, transform, and otherwise process Customer Data only as necessary to provide and secure the Services, follow lawful instructions, and meet applicable obligations. Necessary providers may perform those functions under appropriate restrictions. This license does not permit independent sale, cross-customer marketing, or unrelated exploitation of Customer Data.

Customer warrants that its data collection, disclosure, instructions, and intended processing have the required legal basis and permissions. Customer is responsible for the accuracy, completeness, currency, and integrity of the records it provides or authorizes Company to retrieve from its DMS, CRM, scheduler, inventory systems, uploads, or other designated sources. That responsibility includes customer identities, contact information, vehicle ownership, sales and service histories, appointment status, offers, communication preferences, and consent and suppression records. Customer must maintain its source records, respect source restrictions, and promptly correct material errors and notify Company when an error affects processing or communications.

The accuracy of information communicated or acted upon through the Services depends on the quality and timeliness of those source records. Company may reasonably rely on Customer-provided and Customer-authorized records and is not required to independently verify each underlying fact with the recipient or another source. Integration, cleansing, deduplication, identity reconciliation, and AI processing do not create a warranty that inaccurate, incomplete, outdated, inconsistent, or missing source information will become accurate or that every defect will be detected or corrected. The operational consequences and allocation of responsibility for such defects are further described in Section 10.

Company remains responsible for its own contractual processing obligations and for performing agreed integration and reconciliation functions with reasonable care. Source-data responsibility does not excuse an error introduced by Company's processing, a failure to apply agreed corrections or suppression controls, or a breach of its independent legal or security duties.

9.2 Processing Roles And Addenda

Company generally acts as a processor or service provider for dealership- or business-directed Customer Data and as an independent controller or business for its own billing, account administration, security, and direct business relationships, as described in the Privacy Policy. Customer determines authorized purposes, recipient populations, source access, and instructions for processing on its behalf.

Where applicable law requires a data processing agreement or other specific contractual terms, the parties must execute or otherwise validly incorporate those terms before the relevant processing begins. Customer must not activate a regulated use merely because this Agreement is signed. These Terms are not a substitute for a required DPA, international transfer instrument, specialized security addendum, or individual consent.

For California personal information processed as a service provider or contractor, Company will process it only for the specific business purposes of delivering the contracted Services and permitted supporting functions; will not sell or share it for cross-context behavioral advertising; and will not retain, use, disclose, or combine it outside the direct business relationship or permitted purposes except as allowed by applicable law. Company certifies that it understands and will comply with these restrictions, will notify Customer if it determines it can no longer meet them, and will reasonably assist Customer with applicable rights requests. Customer may take reasonable and appropriate steps, consistent with Section 15 and any DPA, to verify compliance and stop and remediate unauthorized processing. Company imposes applicable protective obligations on downstream providers.

9.3 Sensitive Information And Model Training

Customer must minimize data to what an enabled feature requires. Payment-card details, government identification numbers, health information, precise location, regulated biometrics, and comparable sensitive data may be submitted only through a specifically authorized feature with the required safeguards and agreements. A general prompt or support channel is not a designated sensitive-data intake mechanism.

COMPANY WILL NOT USE CUSTOMER'S PRIVATE CUSTOMER RECORDS, PROMPTS, CONVERSATIONS, BIOMETRIC INFORMATION, OR LIKENESS ASSETS TO TRAIN SHARED OR GENERAL-PURPOSE AI MODELS FOR UNRELATED CUSTOMERS. Expressly authorized customer-specific replica creation or configuration remains subject to its limited purpose and necessary consents. A materially different training use requires a separate lawful basis and required notice and authorization, not an assumption based on these Terms.

Company may use operational telemetry for lawful service administration and improvement within these restrictions. Telemetry used across the platform must not contain dealership customer records, DDU content, private prompts, conversation content, or likeness assets. Company will not combine dealership DDU customer information across dealerships, including by creating a pooled customer dataset described as aggregated or deidentified. Customer-specific reporting within an isolated dealership environment remains permitted. Cross-platform technical capacity, latency, error-rate, and similar operational measurements may be compiled only without exposing or combining the protected dealership content.

9.4 Dealer Data Universe Isolation And AI Processing Boundary

DEALERSHIP DMS DATA, CRM DATA, CUSTOMER RECORDS, AND THE IDENTIFIABLE DATA AND CONTEXT THAT FORM ITS DEALER DATA UNIVERSE ("DDU") REMAIN WITHIN THAT DEALERSHIP'S DESIGNATED, ACCESS-CONTROLLED DEOS CLOUD ENVIRONMENT. COMPANY WILL NOT SEND THAT INFORMATION TO AN OUTSIDE THIRD-PARTY AI SYSTEM, TOOL, APPLICATION, OR MODEL SERVICE FOR ITS INDEPENDENT USE, TRAINING, ENRICHMENT, OR ANALYSIS, OR USE AN EXTERNAL SHARED AI APPLICATION TO PROCESS IT. COMPANY WILL NOT POOL OR AGGREGATE ONE DEALERSHIP'S DDU CUSTOMER INFORMATION WITH ANOTHER DEALERSHIP'S CUSTOMER INFORMATION.

Company will maintain a separately identified dealership tenant instance, with tenant-scoped data storage or equivalent enforced logical segregation, identity and access controls, processing context, and retrieval boundaries. Those boundaries apply to connected customer records, conversation histories, staff communications, prompts, model context, and associated search or retrieval indexes and caches. A user, agent, integration, or query acting for one dealership must not retrieve, expose, or reuse another dealership's information. Group ownership, a common agency, shared infrastructure, or a similar customer name does not remove those boundaries. Group administrators may access specifically authorized dealership instances through their assigned permissions; that does not create a pooled DDU or permit cross-dealership customer identity matching.

"Dealership tenant instance" describes an isolated application and data environment and does not, by itself, promise a dedicated physical server, GPU, or separate cloud-provider account. Company may use shared underlying infrastructure if tenant controls preserve the required separation. Encryption, tenant-scoped authorization, restricted administrative access, and security monitoring protect the environment. Necessary support access is limited to authorized personnel and providers performing the Services under confidentiality and data-use restrictions. These are binding security and use commitments, not a representation that a security incident is technically impossible.

Authorized cloud hosting, storage, and inference-compute providers may operate Company-controlled workloads inside the DEOS service boundary under appropriate contractual restrictions. Infrastructure processing does not permit provider access for independent AI purposes, shared-model training, or incorporation into the provider's general AI products. Use of leased compute is distinct from submitting dealership records or prompts to an outside AI application. Company remains responsible for maintaining the agreed isolation and processing restrictions when using such infrastructure.

This boundary does not prohibit necessary, minimum-scope transmissions expressly required to perform authorized communications, synchronize with Customer's approved source systems, obtain recall data under Section 14, process payments, or comply with law. For example, a carrier must receive the destination number and authorized message to deliver it. Such transmissions do not authorize exporting the DDU to an outside AI system or providing unrestricted database access. No general integration instruction overrides this prohibition. A materially different deployment requires a separately negotiated written amendment and any required privacy notices and consents before activation.

10. Integrations, Data Reconciliation, And Third-Party Services

Customer authorizes Company to connect to and exchange specified data with approved DMS, CRM, inventory, scheduling, communication, and other systems only within agreed access and workflows. Customer must obtain necessary vendor permissions and maintain its third-party subscriptions. Customer-provided credentials do not authorize circumvention of another provider's restrictions. Any integration-access charges passed to Customer must be disclosed in the Order or separately approved.

Customer authorizes agreed read and write actions, such as recording an interaction, updating an approved field, or scheduling an appointment. Before activation, Customer must confirm mappings, permissions, routing, source priorities, campaign rules, and material action limits. Changes to source systems or credentials may require revalidation. Neither party may knowingly override a legally required suppression or use an integration to access an unrelated entity's records.

The Dealer Data Universe supports connected intelligence and engagement context; it does not automatically replace the operational authority of the DMS, CRM, or scheduler. Source conflicts, delayed synchronization, incomplete records, and uncertain identity matches may require human resolution. Customer must retain appropriate source records and review material discrepancies. Company is responsible for agreed platform processing, not the independent accuracy or availability of third-party records. Responsibility for a failure is allocated according to its cause and the Agreement, not solely because a third party is involved.

Source-Data Accuracy And Resulting Communications. Information used to build the DDU, answer staff questions, personalize communications, select recipients, or execute authorized actions is derived from Customer's supplied or authorized source records. Customer acknowledges that the Services' accuracy and reliability are dependent on those records being correct, complete, current, and properly mapped. Incorrect contact details, vehicle associations, service status, permissions, appointment information, or other source facts can result in an incorrect message, report, recommendation, recipient selection, or action even where the Services process the received information as configured.

Customer must review material discrepancies, maintain accurate source records, and promptly provide corrections through the agreed update process. Company will apply properly supplied corrections within the applicable agreed processing or synchronization cycle and cooperate reasonably in investigating reported discrepancies. To the maximum extent permitted by law, Company is not responsible for inaccuracies, failed deliveries, incorrect personalization, or other adverse results to the extent caused by defective Customer-supplied or Customer-authorized source data, rather than Company's own processing error, breach of an agreed obligation, or violation of law. No source-data disclaimer displaces an expressly contracted data-quality or reconciliation task; neither does the existence of such a task guarantee the truth of every underlying source fact. Section 9.1 governs Customer's source-data responsibilities.

Independent third-party products are governed by their own terms. Company does not control their continued availability, licensing, carrier filtering, or vendor policies. Company remains responsible for subcontractors it engages to perform its own obligations, subject to contractual exclusions and liability limits. If a necessary integration becomes unavailable, Company will use reasonable efforts to offer a workaround. A prolonged inability to provide core contracted functionality is addressed under Sections 5, 18, 21, and 24 as applicable.

11. Communications Compliance And Customer Instructions

11.1 Customer Campaign Responsibilities

DEOS AND THE COVERED REVLAB VIDEO AND LEGACY SERVICES ARE COMMUNICATION AND ENGAGEMENT TOOLS OPERATED FOR CUSTOMER. CUSTOMER IS FULLY RESPONSIBLE FOR THE CONTENT, OFFERS, PRICES, CLAIMS, DISCLOSURES, AND REPRESENTATIONS IT PROVIDES, APPROVES, OR AUTHORIZES FOR ITS BUSINESS COMMUNICATIONS. COMPANY DOES NOT BECOME THE DEALER, ADVERTISER, OFFEROR, OR GUARANTOR OF CUSTOMER CONTENT MERELY BY GENERATING, HOSTING, OR TRANSMITTING IT UNDER CUSTOMER'S AUTHORIZED INSTRUCTIONS. Customer controls its offers, recipient eligibility, campaign purposes, communication permissions, content approvals, and lawful timing. To the maximum extent permitted by law, Company assumes no liability for the legality, accuracy, substantiation, or fulfillment of Customer-supplied or Customer-authorized content. An approved automated template or standing workflow is an authorization within its configured scope; Customer need not manually approve each lawful automated message for that responsibility to apply. This allocation does not excuse Company's own unlawful conduct, violation of a nonwaivable duty, or material departure from authorized instructions. It must comply with applicable telemarketing, automated calling, artificial-voice, text, email, call-recording, privacy, advertising, consumer-protection, and industry rules, including the TCPA and implementing rules, applicable do-not-call requirements, CAN-SPAM, state requirements, and carrier policies to the extent applicable.

Customer must obtain and retain required consents and disclosures before enabling communications, distinguish informational from promotional permissions, maintain suppression lists, address reassigned or invalid numbers, observe permitted calling hours and frequency, and provide accurate sender identification and required opt-out methods. An existing customer relationship, purchased list, published number, prior appointment, verification code, or general acceptance of these Terms does not automatically establish legally sufficient marketing permission.

Company supplies the agreed permission and suppression functionality and must perform its own applicable legal and contractual duties. Customer must promptly transmit revocations and restrictions received outside the platform and may not instruct Company to disregard them. Each party must cooperate in investigating a material compliance issue and preserving appropriate evidence. Company may require consent records or pause a campaign where there is a reasonable concern; it need not follow an instruction it reasonably believes is unlawful.

11.2 AI Voice, Recording, And Human Handoffs

Customer must configure and approve legally required AI identification, artificial-voice disclosures, recording or transcription notices, and consents before the relevant processing or communication. A call recording is not permission to clone the speaker's voice. Customer must maintain human escalation contacts, business hours, fallback routing, and an available process for urgent customer issues. Company will implement the agreed features and controls; responsibility for obtaining consent is not shifted from Company where law imposes a direct duty on it.

11.3 Request-Based Assistant SMS

For the limited request-based assistant SMS program, texts are limited to information requested during a chat or call, such as appointment details, location and hours, a vehicle link, or a verification code. For a previously unverified number, the configured program sends a one-time code and requires confirmation before further requested information is sent. Verification is not marketing consent. This program does not send promotional campaigns; separately authorized platform campaign features require their own enrollment and compliance controls.

Frequency varies with requests. Message and data rates may apply. Recipients may reply STOP to opt out, HELP for assistance, and START to request resubscription where supported, subject to valid renewed permission and applicable requirements. A permitted opt-out confirmation may be sent. Company and Customer must honor other legally effective revocations and any broader request within the required time. Carriers are not liable for delayed or undelivered messages to the extent permitted by law. Messaging support is available at support@deos1.com.

Mobile information and messaging opt-in data are not sold or shared with third parties or affiliates for their independent marketing or promotional purposes. Necessary operational disclosures to the directing Customer and providers supporting delivery and compliance remain subject to the Privacy Policy and applicable restrictions. Customer must not use a program migration to erase suppression history or expand consent.

11.4 FTC Dealership Pricing And Advertising Compliance Acknowledgment

By accepting this Agreement, a dealership Customer acknowledges receipt of this contractual compliance notice and its responsibility to review the FTC's March 13, 2026 communication, "FTC Warns 97 Auto Dealership Groups About Deceptive Pricing", and associated "Warning Letter Re: Deceptive Pricing". The linked materials describe FTC enforcement concerns; they do not constitute an approval or certification of the Services or a substitute for applicable law.

ALL VEHICLE PRICES, INCENTIVES, DISCOUNTS, PROMOTIONAL STATEMENTS, FINANCING REPRESENTATIONS, AVAILABILITY CLAIMS, AND RELATED DISCLOSURES SUPPLIED, APPROVED, OR AUTHORIZED BY CUSTOMER FOR COMMUNICATION THROUGH DEOS™, REVLAB VIDEO™, OR COVERED LEGACY SERVICES ARE CUSTOMER'S LEGAL AND CONTRACTUAL RESPONSIBILITY. Customer must ensure its advertised and communicated prices, mandatory charges, eligibility conditions, vehicle availability, and transaction terms are truthful, substantiated, consistent, and compliant with applicable federal, state, and local requirements. It must not direct the platform to advertise misleading prices, unavailable incentives, undisclosed mandatory purchases or charges, or nonexistent inventory.

The Services may be used only for lawful purposes. Unlawful, deceptive, or noncompliant use is prohibited. Company does not approve a claim's legal sufficiency merely by producing or transmitting it and, to the maximum extent permitted by law, is not liable for Customer's representations, disclosures, offers, claims, or failure to honor them. Customer's indemnity obligations in Section 20 apply to covered third-party claims. Company may decline or suspend a reasonably suspected noncompliant communication, but that right does not transfer Customer's advertising responsibilities to Company or excuse Company's own nonwaivable obligations.

For agencies, OEMs, groups, and other Customers, the same allocation applies to the content and business representations they supply or authorize, including content directed for a dealership client. Customer must provide this notice to personnel and clients directing those communications; an acknowledgment does not establish that the FTC itself sent that Customer a warning letter.

12. AI Actions, Outputs, And Operational Responsibility

AI can produce inaccurate, incomplete, unexpected, or similar results for different users. Outputs may not be unique, copyrightable, or free of third-party rights. Customer must evaluate suitability and review high-impact content, offers, factual claims, and action settings. Human review may be configured by risk and workflow; these Terms do not require manual approval of every interaction where lawful automation is authorized.

Customer must define the authority of automated agents, including permissible offers, appointment constraints, escalation rules, access privileges, and write-back actions. Prompts and approved standing workflows are instructions within those limits. Actions exceeding approved authority must not be treated as authorized merely because an AI generated them. Company must use reasonable care to implement agreed controls, and Customer must test configurations before launch and monitor material exceptions.

Unless expressly agreed and legally permitted, the Services must not be used to make credit, lending, insurance, employment, legal, or other regulated consequential decisions, commit funds, enter binding contracts on a recipient's behalf, or perform safety-critical functions. The Services are not emergency dispatch, professional advice, a vehicle diagnostic system, or a replacement for qualified staff. A service reminder or recall message is not a diagnosis or assurance of vehicle safety. Customer must preserve appropriate human oversight and alternate operating procedures.

Company does not guarantee sales, appointments, engagement rates, retention, incremental revenue, labor savings, search placement, or regulatory outcomes. Attribution reports reflect the stated measurement method and available source data; they do not establish that every related transaction was caused by DEOS. Customer remains responsible for substantiating claims it publishes.

13. Content, Persona Materials, OEM Assets, And Output Rights

13.1 Rights And Releases

Customer must secure and maintain rights for its content, product references, music, vehicle imagery, marks, and other materials. An OEM franchise relationship does not by itself establish every right needed for AI transformation or distribution. Customer authorizes sourcing from its approved asset libraries, ad planners, websites, or other identified sources only where it has the necessary rights and the source permits access. A product URL or publicly visible image is not proof of a reuse license.

User's Own Likeness Authorization. Each adult Authorized User who affirmatively accepts these Terms after receiving conspicuous notice of this paragraph expressly authorizes Company, acting for the dealership or other Customer they represent, to capture or receive materials the user intentionally submits or records for replica creation and to reproduce, synthesize, edit, synchronize, and use that user's name, image, voice, and likeness in AI-generated communications from that Customer to its customers and prospects. The authorization is limited to Customer's lawful dealership or other approved business communications, during the authorized relationship, and subject to the permitted purpose, retention rules, and rights described here. It does not authorize Company portfolio advertising, use for another dealership, unrelated model training, covert collection, or creation of a replica from an ordinary customer service call.

Unless that user opts out in writing to support@deos1.com, the foregoing express authorization remains applicable to permitted uses once validly granted. A user may opt out before submitting persona materials or later withdraw authorization by identifying their account and the affected persona. Company will stop new generation and distribution using that persona without undue delay and within applicable deadlines, coordinate cessation of active campaigns, and apply the required deletion schedule. Opting out of likeness use does not by itself cancel Customer's subscription or prevent nonlikeness platform use. It does not retroactively invalidate lawful prior use or automatically recall media already delivered to independent recipients.

Customer's organizational acceptance authorizes only rights it actually holds. An administrator, employer, dealer principal, agency, or group cannot consent for another person unless legally authorized to do so. SILENCE, FAILURE TO OPT OUT, OR MERE ACCESS WITHOUT A VALID AFFIRMATIVE ACCEPTANCE IS NOT A SUBSTITUTE FOR A REQUIRED INDIVIDUAL CONSENT OR BIOMETRIC RELEASE. Where law requires a separate informed written biometric release, specific notices, or another individual authorization, that process must be completed before collection or processing, even if the user has accepted these Terms and has not opted out. Company must present the authorization conspicuously in the applicable user acceptance or persona-enrollment process and retain the necessary evidence. No replica will be created solely because a user has an account.

Before recording, uploading, or replicating a person, Customer must obtain required informed written releases and any separate biometric notices and consents identifying the relevant purpose, scope, recipients, and retention. Customer must supply evidence on reasonable request and notify Company promptly when consent is withdrawn, authority expires, or personnel depart. Company will stop affected production and address retained assets under the applicable consent, Privacy Policy, and law. Employment alone does not authorize an unrestricted replica.

Company may reasonably rely on Customer's representations but may investigate, require a direct release, reject materials, or suspend a use. Nothing permits Company to ignore a known deficiency or avoid a direct statutory duty. Customer must not submit minor likenesses through the ordinary workflow; any permitted exception requires advance written approval and all applicable safeguards and permissions.

13.2 Limited Production License And Retention

Customer grants Company and its necessary contracted providers a nonexclusive, royalty-free right to process and transform the authorized materials to produce and deliver the Services within the approved purpose and term. Territory is limited by the underlying rights and lawful processing arrangements; no broader rights are created by hosting infrastructure. Post-term processing is limited to lawful wind-down, deletion, permitted records, and mandatory preservation, not continued campaign generation.

The Privacy Policy's likeness and biometric retention schedule applies: no longer than necessary for the authorized purpose and in no event more than twenty-four months from collection or creation of the particular asset, with earlier purpose-completion, termination, withdrawal, and mandatory destruction triggers as described there. A general backup, archival, or enforcement provision does not extend a legally mandatory destruction deadline or this stricter schedule. No general license permits selling, leasing, trading, or otherwise unlawfully profiting from regulated biometric information.

13.3 Customer Outputs And Permitted Distribution

As between the parties, Customer retains its input rights and receives Company's rights, if any, in the final Customer-specific Output produced within the authorized scope, excluding underlying Company Technology and third-party materials. Company grants a nonexclusive license to any embedded Company-owned elements necessary to use that final Output for the authorized business purpose. These rights are subject to payment of applicable undisputed charges, the underlying likeness and content permissions, third-party terms, and law. No output assignment conveys exclusive rights in generic elements or in content independently generated for another customer.

Customer may download, publish, transmit, and retain final authorized business outputs and take ordinary screenshots of its reports for legitimate business, compliance, and internal training purposes. It may not extract platform technology, proprietary templates as a standalone product, reusable replica models, source code, or another customer's information. Company-hosted playback links and interactive functions may cease when the subscription ends; continued independent use of lawful exported final media does not include continued hosting or model access.

Customer is responsible for material changes it makes after delivery, unauthorized distribution, and required synthetic-media or endorsement disclosures. Recipient forwarding is not within Company's complete control. Company remains accountable for its own breach, unlawful processing, or unauthorized alteration under the Agreement.

13.4 Publicity And Portfolio Use

Limited Active-Customer Identification And Sample Content. By becoming a paid subscriber and accepting this Agreement, Customer grants Company a limited, nonexclusive, royalty-free, revocable permission, solely while Customer maintains an active paid subscription, to identify Customer by its legal or trade name on Company's website and in Company materials as a current customer of Company or the covered Services, and to display sample videos or content messaging produced through the Services for the limited purpose of demonstrating their format, presentation, and functionality. Any sample must exclude all dealership consumer and recipient identities, personal information, private communications, and confidential business information. Company must remove or replace actual recipient-specific information with fictitious demonstration information and must not display material from which an actual recipient could reasonably be identified, whether through text, speech, imagery, metadata, links, or surrounding context. The permission does not authorize an endorsement, testimonial, performance claim, or disclosure of the Services configuration, commercial terms, or scope of Customer's use beyond what is necessarily apparent from the permitted sample's format and presentation. Free Access, unpaid Trials, no-charge Beta Services, and former subscriptions do not grant this permission.

Opt-Out And End Of Permission. Customer may opt out of customer identification, sample-content use, or both at any time by writing to legal@deos1.com, identifying Customer and the requested restriction. Unless Customer specifies otherwise, a general publicity opt-out applies to both. No additional Customer publicity approval is required for the limited identification and sanitized samples expressly permitted above unless Customer opts out or applicable law requires separate consent. Company will cease new use and remove the affected identification and samples from website pages and other materials under its control without undue delay after receiving the opt-out. Permission also ends automatically when Customer's paid subscription expires or terminates; Company will discontinue the identification and sample use and remove them from materials under its control. Company will not continue distributing printed or other reusable materials containing the affected identification or samples after permission ends. Materials already delivered to independent recipients need not be recalled, but that exception does not authorize new distribution or continued display on Company-controlled channels.

Information And Rights Excluded From This Permission. Except for Customer's legal or trade name, the fact of its active paid customer relationship, and the sanitized sample content expressly permitted above, this permission authorizes no public use, display, disclosure, or publication of Customer's business information. It excludes nonpublic pricing or contract terms, financial and operational information, business metrics, results, campaign targeting or strategy, internal communications, platform screenshots, and identifiable DDU information. NO ACTUAL DEALERSHIP CONSUMER OR RECIPIENT IDENTITY, PERSONAL INFORMATION, CUSTOMER RECORD, OR PRIVATE COMMUNICATION MAY BE DISPLAYED, SHOWN, DISCLOSED, OR USED IN A PUBLIC SAMPLE OR OTHER COMPANY PUBLICITY UNDER THIS PERMISSION. Merely removing a name is insufficient if a person remains reasonably identifiable. Sample content must be limited to demonstration messaging and may not expose actual vehicle ownership, service history, appointments, contact details, account identifiers, personalized links, or other recipient-specific facts. Company may sanitize the demonstration content but may not export or repurpose the underlying DDU or customer database for publicity.

This permission grants only rights Customer can lawfully authorize. It does not independently authorize use of a person's face, voice, replica, or likeness in Company publicity, or use of Customer logos, OEM marks, music, or other third-party assets outside existing rights expressly covering that publicity use. Where those rights are absent, Company must obtain the necessary separate permissions or remove or replace the affected material before publication. The user likeness authorization in Section 13.1 remains limited to Customer's business communications and does not itself authorize Company portfolio use. Customer's paid subscription does not waive those individual or third-party rights.

Separate Approval For Any Broader Use. Any use beyond the limited identification and sanitized demonstration samples described above requires Customer's prior express written permission identifying the specific information or materials, defined purpose, channels, scope, and authorized duration, together with any necessary individual, likeness, OEM, or other third-party permissions. Any separately approved sample or case study must still exclude dealership consumer identities and personal information and remain within its expressly approved scope. Nothing in this section grants Customer a reciprocal publicity or endorsement right in Company.

14. Recall And VIN-Based Services

If included in the Order, Customer authorizes Company to derive a Customer-specific VIN list from approved records solely to obtain recall information and support authorized recall outreach. Company may provide the minimum necessary VIN information to designated contracted recall-data providers, subject to confidentiality, lawful-use, and security restrictions. Neither the VIN list nor derived recall data may be sold or used for unrelated purposes. Retention is limited to the authorized purpose and applicable obligations.

Recall data may be delayed, incomplete, or superseded. Customer must verify material recall status, applicability, remedy availability, and repair completion through appropriate authoritative sources before making definitive claims or taking repair actions. Company does not determine whether a vehicle is safe to drive, whether a recall repair has been performed, or whether Customer has fulfilled an OEM or legal notification duty. A recall classification does not automatically remove communication-consent requirements or permit adding promotional content.

15. Information Security, Incidents, And Compliance Verification

Company publishes additional information-security, privacy, data-handling, and compliance policies and notices through the legal, security, or compliance sections of its website. Customer should review the applicable published materials for further information regarding safeguards and applicable state and federal compliance requirements, and may request the relevant policy or clarification at legal@deos1.com. These references do not represent that Company holds every possible certification or that every framework applies to every Service. A policy is contractually incorporated only as provided in Section 1.3 or an accepted Order or addendum; no unidentified website publication silently overrides this Agreement.

Company will maintain reasonable administrative, technical, and organizational safeguards appropriate to the information and contracted Services, including encryption in transit and at rest, access controls, and measures to protect confidentiality and integrity. Company will require appropriate safeguards from providers it engages. No system is completely secure, and no certification or particular audit status is represented unless expressly documented in an accepted agreement or accurate current supporting evidence.

For a confirmed unauthorized access to or disclosure, loss, destruction, or alteration of Customer personal information in Company's custody or control (a "Security Incident"), Company will notify Customer without undue delay and within applicable legal or agreed deadlines, provide reasonably available information, investigate, mitigate, and cooperate with required response. Routine blocked attacks without compromise are not reportable incidents under this clause. Company will not delay an otherwise required initial notice solely because all facts are not yet known. Each party remains responsible for notices and regulatory duties imposed directly on it; Customer generally directs notices for information it controls, except where law requires otherwise.

Where Customer is subject to the GLBA or FTC Safeguards Rule, the parties will document necessary provider obligations and oversight arrangements before processing affected nonpublic financial information. No blanket exemption from privacy law is assumed for automotive data. Customer may request reasonably available security documentation under confidentiality restrictions. Additional assessments or audits follow an applicable DPA or separately agreed reasonable scope and must not expose other customers' information or compromise security.

Company may verify account usage and compliance through its own records. Upon reasonable documented grounds of misuse, Company may request relevant records or an officer certification and, if insufficient, propose a narrowly scoped independent review on at least ten business days' notice. This is not unrestricted access to Customer's source repositories, unrelated systems, or privileged material. Any onsite or intrusive review requires agreed safeguards or lawful process. Company bears ordinary review costs; reasonable costs attributable to a demonstrated material violation may be recovered where lawful. Verification does not require retaining personal information past mandatory deletion deadlines.

16. Intellectual Property, Confidentiality, And Restricted Use

16.1 Company Technology And Feedback

Company and its licensors retain all legal rights in Company Technology, proprietary processes, personalization and rendering methods, workflows, model assets, reusable templates, protected production content, and their improvements, including reusable tools created during implementation unless a signed Order expressly assigns an identified deliverable. Technology may incorporate owned and licensed components; no representation is made that every underlying model or dependency was originally developed by Company. Customer's data, original content, and independent technology are not assigned to Company merely because they are used with the Services.

Customer grants Company a perpetual, worldwide, nonexclusive, royalty-free right to use voluntarily provided product feedback to improve and commercialize its technology. Feedback excludes Customer personal information, confidential business records, and separately owned materials not intentionally provided for that purpose. Company may not use a feedback label to bypass privacy restrictions.

16.2 Mutual Confidentiality

"Confidential Information" is nonpublic information disclosed by or for a party that is marked confidential or reasonably understood as confidential in context. It includes Customer Data and business records, nonpublic pricing, security information, Company source code, models, algorithms, architecture, integration and personalization methods, workflows, API details, unreleased features, and private demonstrations. Publicly disclosed general functionality does not become secret merely because a customer sees it again in the platform.

The receiving party will use Confidential Information only to perform or receive the Agreement, protect it with reasonable care no less than it uses for its own comparable information, and disclose it only to authorized personnel, contractors, and professional advisers with a need to know and protective obligations. It remains responsible for those persons within its control. Disclosure to a financing source or prospective acquirer requires appropriate confidentiality safeguards and no access for competitive exploitation; platform access itself remains subject to licensing restrictions.

Information is excluded if the receiving party can demonstrate it was lawfully known without restriction, independently developed without use of the protected information, lawfully received from another source, or public without breach. Required legal disclosures are limited to what is required, with advance notice where lawful and practicable and reasonable cooperation at the disclosing party's expense. No fixed notice period requires violating a subpoena deadline.

Confidentiality continues for five years after termination, and trade-secret protection continues while the information lawfully qualifies as a trade secret. Personal information remains protected as required by law and applicable processing obligations for as long as retained. No confidentiality clause restricts lawful regulator reports, protected whistleblowing, mandatory disclosures, or legal advice.

16.3 Prohibited Activities

Customer and users must not:

These restrictions do not prohibit ordinary use of final outputs under Section 13, legitimate procurement comparisons, authorized troubleshooting, independent development without protected information, or truthful reviews that do not disclose secrets or personal information. No general ban on working with another vendor, investing in unrelated businesses, hiring personnel, or independently competing after termination is created. Targeted recruitment using misappropriated confidential personnel information remains prohibited. Separate negotiated restrictive covenants, if any, must be independently lawful and expressly agreed.

16.4 Enforcement And Equitable Relief

COMPANY WILL PURSUE AVAILABLE LEGAL REMEDIES WITHIN ITS RIGHTS AGAINST UNAUTHORIZED COPYING, TECHNOLOGY EXTRACTION, REVERSE ENGINEERING, TRADE-SECRET MISAPPROPRIATION, UNLICENSED REPLICATION, AND OTHER PROHIBITED EXPLOITATION OF ITS PROTECTED TECHNOLOGY, PROCESSES, OR CONTENT. Remedies may include suspension or termination, preservation of evidence, cease-and-desist demands, recovery of damages or an accounting where available, and temporary, preliminary, or permanent injunctive relief. Company may make appropriate reports to authorities where conduct reasonably appears unlawful and seek recoverable costs and attorneys' fees where a contract or statute permits.

This enforcement position applies to misconduct by subscribers, free users, Authorized Users, and other persons to the extent Company's contractual or independent legal rights apply. A visitor who has not accepted these Terms may still be subject to copyright, trade-secret, computer-access, or other applicable law; publication does not by itself create contractual assent. Protection extends to legally protected elements and rights actually owned by or licensed to Company, not Customer-owned data, properly licensed final outputs, generic ideas, or independently developed lawful work. An authorized dealership's permitted use of its own videos is not prohibited copying. Section 13 governs those rights.

Unauthorized disclosure or misuse of trade secrets, Customer Data, or protected technology may cause harm inadequately remedied by damages. Either party may seek appropriate injunctive or equitable relief, subject to applicable legal standards, defenses, and court requirements concerning proof and security. No automatic injunction, waiver of all defenses, or guaranteed bond amount is created.

17. Support And Availability Commitment

Company will provide commercially reasonable support for paid production Services through support@deos1.com and any channels identified in the Order. Guaranteed response times, around-the-clock staffing, dedicated support, disaster-recovery targets, and customized service levels apply only if expressly agreed.

Unless a separate SLA controls, Company will use commercially reasonable efforts to make the core paid production platform available 99.0% of each calendar month, excluding Excluded Downtime. "Unavailable" means the core platform cannot be accessed or used for its principal contracted function, measured using Company monitoring and reasonably substantiated Customer evidence; an isolated reporting delay or unavailable optional feature does not make the entire platform unavailable.

"Excluded Downtime" means unavailability caused by scheduled maintenance, necessary emergency maintenance, Customer systems or misuse, independent third-party systems or network failures outside Company's reasonable control, a permitted suspension, or a Force Majeure Event. Company will use reasonable efforts to schedule routine maintenance to reduce disruption and give advance notice when practicable. An exclusion does not excuse Company's failure to perform an express maintenance or security obligation or make every preventable incident beyond its control.

Monthly availability equals 100 × (eligible minutes minus unplanned unavailable minutes) ÷ eligible minutes, where eligible minutes are the minutes in the subscribed portion of the month less Excluded Downtime. If no eligible minutes remain, no percentage is calculated. If availability is below 99.0%, Customer may claim a credit equal to the affected monthly recurring subscription fee multiplied by the fraction of eligible minutes unavailable in excess of the permitted 1.0%, capped at that affected monthly fee. One-time charges, taxes, third-party pass-through charges, and unaffected Services are excluded from the credit base.

Customer must request the credit within thirty days after the affected month, identifying the account, affected functions, and reasonably available downtime details. Credits apply against future fees, have no cash value, and are the exclusive monetary remedy for ordinary availability shortfalls alone. They do not remove an express termination or prepaid-fee refund right for uncured material breach, or remedies for a separate breach such as a failure of required data protection duties, subject to Section 19. Free, trial, and beta features have no default availability commitment.

18. Warranties, Disclaimers, And Limited Remedies

Each party represents it has authority to enter and perform the Agreement. Customer makes the data, content, permission, and lawful-use commitments stated above. Company warrants that it will perform professional services with reasonable skill and care and that paid production Services will materially conform to the applicable Documentation during the subscription term, subject to authorized changes and disclosed dependencies.

Customer must promptly notify Company of a material nonconformity with reasonable detail. Company will use reasonable efforts to correct it or provide a materially equivalent workaround. If it cannot do so within thirty days after sufficient written notice, Customer may terminate the materially affected Services and obtain unused prepaid recurring fees for the period after termination. This correction-and-termination remedy is the exclusive remedy for an ordinary Documentation-conformity claim, without limiting separately stated duties or mandatory remedies. Availability claims follow Section 17.

EXCEPT FOR THE EXPRESS WARRANTIES IN THE AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, THIRD-PARTY MATERIALS, AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. COMPANY DOES NOT WARRANT THAT ALL OUTPUTS OR SOURCE RECORDS WILL BE ACCURATE OR UNIQUE, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EVERY MESSAGE WILL BE DELIVERED OR PRODUCE A PARTICULAR COMMERCIAL RESULT.

A disclaimer does not negate an expressly stated obligation or exclude a liability that cannot lawfully be excluded. Customer must not make warranties on Company's behalf. No employee or AI assistant may amend these Terms through an ordinary conversation or generated response.

19. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT AND SERVICES, INCLUDING CLAIMS BY CUSTOMER AND ALL USERS ACCESSING UNDER ITS ACCOUNT, WILL NOT EXCEED THE FEES ATTRIBUTABLE TO THE LAST ONE MONTH OF THE AFFECTED SERVICES ACTUALLY PAID FOR BY CUSTOMER BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. PREPAID MULTI-MONTH FEES ARE ALLOCATED TO THE SERVICE PERIOD THEY COVER, NOT SOLELY THE DATE PAYMENT WAS RECEIVED. FEES FOR UNRELATED SERVICES ARE NOT INCLUDED. IF CUSTOMER HAS NEVER PAID FOR THE AFFECTED SERVICES, INCLUDING NO-CHARGE BETA SERVICES, FREE ACCESS, OR AN UNPAID TRIAL, THE CONTRACTUAL MONETARY LIABILITY CAP IS ZERO, SUBJECT TO THE NONWAIVABLE-LIABILITY EXCEPTIONS BELOW. THERE IS NO SEPARATE MINIMUM DOLLAR LIABILITY ALLOWANCE. RELATED EVENTS ARE TREATED AS ONE CLAIM ARISING AT THE FIRST EVENT; MULTIPLE CLAIMANTS OR LEGAL THEORIES DO NOT MULTIPLY THE CAP.

COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, TO THE EXTENT SUCH LOSSES ARE INDIRECT OR CONSEQUENTIAL, EVEN IF ADVISED OF THEIR POSSIBILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. REASONABLE DIRECT DATA-RESTORATION COSTS, IF OTHERWISE RECOVERABLE, REMAIN SUBJECT TO THE AGGREGATE CAP.

These limitations apply across contract, tort (including ordinary negligence), statutory, and other theories to the extent lawful. They do not limit Company's fraud, willful misconduct, gross negligence, or liability that applicable law prohibits limiting. Express refunds of unused prepaid fees, correction of overcharges, and earned service credits remain payable under their applicable provisions and are not eliminated by the cap. The cap does not limit Customer's payment obligations, Customer's indemnity obligations, or liability for Customer's misappropriation or unauthorized use of Company intellectual property. Separate negotiated liability provisions apply where expressly controlling.

The parties acknowledge that these limits allocate risk and are a material basis of the pricing and provision of access, including free access. They do not bind a regulator or eliminate a third person's independent statutory rights.

20. Indemnification And Third-Party Claims

Customer will defend Company and its officers, directors, employees, contractors, and authorized service providers against third-party claims arising from: (a) Customer Data, content, Persona Materials, or OEM assets supplied or authorized by Customer infringing or violating a third person's rights; (b) Customer's failure to obtain necessary notices, consents, or permissions; (c) Customer-directed communications, offers, unlawful campaigns, or violations of applicable law; or (d) Customer's or its users' material breach of the access, confidentiality, intellectual-property, or restricted-use obligations. Customer will pay resulting damages and costs finally awarded, reasonable defense expenses, and settlements it approves, including fines or penalties only to the extent lawfully indemnifiable.

Customer has no indemnity obligation to the extent a claim is caused by Company's breach, unlawful conduct, negligence, unauthorized processing, or material departure from lawful Customer instructions. An allegation alone does not establish that Customer caused the loss. First-party contractual losses are pursued under applicable remedies rather than automatically treated as third-party indemnity.

Company must give reasonably prompt notice, subject to loss of protection only to the extent material prejudice results from delay; permit Customer to control the defense with qualified counsel reasonably acceptable to Company; and provide reasonable cooperation at Customer's expense. Company may participate at its expense, or assume control if Customer fails to defend after reasonable notice or a material conflict requires independent representation. No settlement may admit Company's fault, impose a nonmonetary obligation, or omit an unconditional release of Company without its written consent, not unreasonably withheld. The parties will coordinate where law requires Company to control a regulatory response.

If a credible third-party IP claim concerns Company Technology itself, Company may obtain continued use rights, modify or replace the affected component with materially equivalent functionality, or terminate that affected component and refund unused prepaid recurring fees. Company is not required to preserve an allegedly infringing feature. This mitigation provision does not itself create a Company defense or indemnity obligation; any such obligation must be expressly stated in an Order or signed addendum. Any otherwise available claim for Company's breach remains subject to the Agreement.

21. Suspension And Termination

21.1 Suspension

Company may suspend affected access or actions where reasonably necessary to address a security threat, compromised credentials, unlawful activity, material misuse, unauthorized sharing, a legal or provider requirement, or overdue undisputed charges under Section 6. Company will give notice and a reasonable opportunity to resolve the issue when feasible; immediate suspension is permitted where delay would create material risk. Company will limit scope and duration where practicable, explain the basis to the extent lawful, and restore service promptly after resolution.

Customer remains liable for agreed charges during a suspension attributable to its breach, but no suspension creates unaccepted fees or authorizes indefinite billing for Company's convenience. Suspensions caused solely by Company's breach remain subject to applicable credits and remedies. Company may block export only to the extent necessary for law, verified security risks, or another legitimate contractual restriction, not merely to prevent a lawful privacy request.

21.2 Termination For Cause

Either party may terminate affected Services or, if the breach is material to the relationship as a whole, the Agreement, if the other party materially breaches and fails to cure within ten business days after written notice. A noncurable material breach, unlawful use, or continued activity posing a material security risk may justify immediate termination to the extent lawful. A remediable breach is not automatically noncurable merely because it concerns an important section. Company may terminate an unpaid free or evaluation entitlement as described in Section 4. Paid fixed-term access may not be terminated solely for Company's convenience without Customer's agreement or an express Order right.

21.3 Financial And Operational Effects

On termination, platform access and future production cease except for agreed transition or export access. Customer must stop unauthorized use of Company Technology and pay accrued fees and approved noncancelable third-party commitments. Where Company terminates for Customer's uncured material breach, unpaid committed fees for the remaining fixed term may become due to the extent they are lawful, enforceable contract damages, accounting for costs avoided, mitigation required by law, and amounts already recovered. No prohibited penalty or double recovery is intended. Ordinary nonrenewal does not accelerate fees for an unagreed future term.

If Customer terminates for Company's uncured material breach, or an express Agreement provision grants a refund, Company will refund unused prepaid recurring fees for the affected period after termination, and future recurring charges for those terminated Services cease. No general nonrefund clause overrides that right. Transition work beyond standard export may require a separately approved statement of work.

22. Data Export, Return, And Deletion

During an active subscription, Customer may use available export functions within its permissions. On expiration or termination, Customer may request a standard export of reasonably available Customer Data within thirty days, subject to lawful verification, source-provider restrictions, recipient rights, and security requirements. Company will provide a reasonably usable available format; the right does not include source code, model weights, other customers' data, or an obligation to construct a new integration. Customer is responsible for its own business records and timely backups. Standard available export does not incur a new fee; custom conversion or migration requires approved charges.

Unless an applicable DPA, Order, individual right, or stricter legal requirement provides otherwise, Company will delete or return production Customer Data within ninety days after the thirty-day export window, except limited records lawfully necessary for billing, consent and suppression evidence, security, disputes, or mandatory preservation. Such records remain protected and cannot be used for unrelated business purposes. Isolated nonbiometric backup copies expire through normal protected rotation and are not restored to ordinary use without reapplying required deletions. There is no general promise to retain Customer Data for twenty-four months after termination.

The stricter likeness and biometric schedule in Section 13 and the Privacy Policy controls its covered assets. Account termination ends production use and triggers that deletion process; the export window does not extend biometric retention deadlines. Company may retain minimal nonbiometric evidence of a release or deletion only where lawful and necessary.

On request, each party will return or destroy the other's Confidential Information, subject to lawful archival exceptions and protected automated backups. Customer may retain its own exported records and lawful final outputs under Section 13, necessary legal and compliance evidence, and the Agreement. On reasonable request, an authorized representative will confirm material compliance. Routine deletion consistent with these provisions does not create liability, but this does not excuse deletion contrary to an agreed preservation or export obligation.

23. Legacy Products And Existing Agreements

The Services may include offerings previously identified as Ignite, Engage, Retain, REPLAi™, REPLAi WebID, REPLAi Sales, REPLAi Service, or REVLAB VIDEO. Rebranding or migration to DEOS alone does not modify an existing customer's scope, pricing, term, ownership rights, or negotiated protections. Existing agreements continue under their accepted terms until lawfully amended, renewed under a valid update provision, or replaced by a mutually accepted Agreement. These Terms do not retroactively displace an earlier agreement merely because a product name changed or this page was published.

Where an existing customer accepts these Terms for a new DEOS subscription or authorized amendment, the accepted documents must identify what they replace or supplement. Existing confidential information remains protected under its applicable agreement and law.

24. Force Majeure

Neither party is liable for delay or failure to perform to the extent caused by circumstances beyond its reasonable control, such as natural disasters, war, government restrictions, widespread utility or communications outages, and comparable events that could not reasonably be prevented or overcome. Cyberattacks or provider failures qualify only to that extent; ordinary staffing shortages, lack of funds, and avoidable operational failures are not automatically excused.

The affected party will provide reasonably prompt notice where feasible, mitigate the impact, and resume performance as soon as reasonably practicable. Required security, incident-response, and data-protection duties continue to the extent performance remains possible and applicable law requires them. Accrued payment obligations are not excused. If a qualifying event materially prevents performance for thirty consecutive days, either party may terminate the affected Services on written notice; unused prepaid recurring fees for the period after termination will be refunded, and no future recurring charges accrue for those Services. Other liability remains governed by Section 19.

25. Governing Law, Venue, And Disputes

Florida law governs the Agreement without regard to conflict-of-law rules, except where mandatory law requires otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party consents to exclusive jurisdiction in the state courts in Palm Beach County, Florida, and the United States District Court for the Southern District of Florida, with proceedings in Palm Beach County to the extent permitted by applicable court rules and assignment procedures, for disputes arising from the Agreement, and waives objections to that venue to the extent lawful. A party may seek urgent protective relief in another competent court when necessary to protect confidential information, data, or intellectual property. No arbitration is required by these Terms.

Before filing an ordinary contractual action, the parties will attempt in good faith for thirty days after written dispute notice to resolve it through representatives with settlement authority. This process does not prevent urgent relief, required filings, or steps needed to preserve a limitation period, and does not alter mandatory deadlines without a written tolling agreement.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY FOR DISPUTES ARISING OUT OF OR RELATING TO THE AGREEMENT. EACH HAS HAD THE OPPORTUNITY TO CONSULT COUNSEL. IF THIS WAIVER IS UNENFORCEABLE, THE DISPUTE REMAINS IN THE APPROPRIATE COURT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMER, EACH ACCEPTING AUTHORIZED USER FOR THEIR OWN CLAIMS, AND COMPANY AGREE THAT CLAIMS BETWEEN THEM MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION. NO PARTY WILL SEEK TO COMBINE UNRELATED CUSTOMERS' CLAIMS OR ASSERT CLAIMS ON BEHALF OF A PUTATIVE CLASS. THIS IS A COURT-LITIGATION INDIVIDUAL-ACTION WAIVER, NOT AN ARBITRATION PROVISION. Claims arising from the same Customer subscription may be joined where necessary to resolve the contracting parties' rights, without authorizing a class or other representative proceeding. This waiver does not restrict government enforcement, protected reports, or relief that applicable law does not permit a party to waive. If a court holds the waiver unenforceable for a particular claim, that claim proceeds as the law requires; the remaining venue and jury-waiver provisions remain effective to the extent enforceable. No waiver binds a third party who has not validly agreed to it.

Company may recover reasonable lawful collection costs for overdue undisputed fees as provided in Section 6. Otherwise attorneys' fees are awarded only where provided by a controlling signed agreement or applicable law. Nothing bars a regulator complaint, protected report, or nonwaivable remedy.

26. General Contract Provisions And Updates

Assignment. Customer may not assign the Agreement or transfer access without Company's prior written consent, not unreasonably withheld for a legitimate business succession with adequate compliance and payment arrangements. Company may assign the Agreement in connection with a merger, reorganization, or sale of substantially all relevant business or assets, provided the successor assumes applicable obligations and the transfer complies with data, consent, and third-party restrictions. No assignment expands a likeness release or transfers rights Company does not possess. Other assignments require consent. The Agreement binds permitted successors and assigns.

Independent contractors. The parties are independent contractors. No partnership, employment, franchise, fiduciary, or general agency relationship is created. Any authority to transmit communications or access assets is limited to the agreed technical functions; neither party may otherwise bind the other.

International use and export. Customer must use the Services only in approved jurisdictions and comply with applicable export, sanctions, and trade restrictions. Customer represents it is not prohibited from receiving the Services. Company may refuse prohibited transactions. No geographic availability or unrestricted cross-border processing is promised.

Entire agreement. The Agreement contains the complete agreement concerning the covered Services and replaces prior discussions on that subject, subject to Section 23 and any expressly preserved agreement. Purchase-order boilerplate, supplier portals, unilateral policy links, and invoice attachments do not add terms unless Company expressly accepts them through an authorized written agreement. Neither party excludes liability for fraudulent representations by this clause.

Changes. Company may publish updated Terms, but publication alone does not retroactively amend an accepted fixed-term Agreement. Material changes apply upon affirmative acceptance or at a renewal for which Company gives at least thirty days' advance notice and a meaningful opportunity to avoid renewal under the applicable notice deadline. If needed, notice must be earlier to preserve that opportunity. Expressly agreed pricing, scope, and fixed-term commercial commitments change only as the Agreement permits. Changes necessary to comply with law or address a material security risk may take effect sooner to the minimum extent necessary, with notice where lawful. Company will obtain additional assent where required and identify the applicable version. Ordinary continued use is not used to impose undisclosed retroactive liability or change terms that require signatures.

Waiver and severability. Failure to enforce a provision is not a waiver. A waiver must be in writing by an authorized representative. If a provision is invalid, a court may limit or sever it to the extent lawful while preserving the remaining Agreement; no mandatory-law protection is waived by a general reformation clause.

Electronic records and counterparts. Accepted electronic signatures and records may establish the Agreement to the extent lawful. Each party may retain a copy. The parties may execute counterparts. Electronic delivery does not waive any notice form specifically required by law.

Third-party rights. No general third-party beneficiary right is created. Company's identified indemnified persons may enforce Section 20 to the extent lawful. This does not eliminate independent rights held by individuals, regulators, or third-party licensors.

Survival. Accrued payment obligations, data wind-down and deletion duties, confidentiality for its stated duration, ownership and permitted final-output rights, restrictions that protect retained information and intellectual property, indemnification, liability limitations, dispute provisions, and provisions that by their nature must continue survive termination. Survival does not extend a time-limited subscription or authorize continued personal-data retention contrary to law.
